Terms of Service

1. Agreement to Terms

By accessing or using ZinithX Pro ("the Service"), operated by ZINITHX (PTY) LTD (Registration: 2025/166229/07), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

2. Service Description

ZinithX Pro is a cloud-based invoicing and accounting software platform designed for South African businesses. The Service includes:

• Invoice and quote creation and management
• Client relationship management
• Financial transaction tracking
• Payment processing integration
• Financial reporting and analytics
• SARS-compliant tax calculations

3. User Accounts

3.1 Account Creation

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use.

4. Subscription and Payment

4.1 Free Trial

We offer a 14-day free trial with full access to features. No credit card required to start.

4.2 Paid Subscriptions

After the trial period, you must subscribe to a paid plan to continue using the Service. Subscription fees are billed monthly in South African Rand (ZAR).

4.3 Billing

• Automatic recurring billing on your subscription renewal date
• All prices include VAT where applicable
• Payments processed securely through Paystack
• No refunds for partial months or unused features

4.4 Cancellation

You may cancel your subscription at any time. Access continues until the end of your current billing period.

5. Acceptable Use

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code or viruses
• Attempt to gain unauthorized access to our systems
• Use the Service for fraudulent purposes
• Share your account with unauthorized users
• Reverse engineer or copy our software

6. Data Ownership and Privacy

Your Data Belongs to You. All data you input into the Service (clients, invoices, financial records) remains your property.

• We do not sell or share your data with third parties (except service providers necessary for operation)
• You can export your data at any time
• Data is encrypted in transit and at rest

7. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. We may:

• Perform scheduled maintenance (with notice)
• Make updates and improvements
• Experience temporary outages

We are not liable for any losses resulting from service interruptions.

8. Intellectual Property

The Service, including all code, design, trademarks, and content, is owned by ZINITHX (PTY) LTD. You are granted a limited, non-exclusive license to use the Service for your business purposes only.

9. Limitation of Liability

To the maximum extent permitted by South African law:

• The Service is provided "as is" without warranties
• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid in the past 12 months
• You are responsible for the accuracy of data you input

10. Indemnification

You agree to indemnify and hold harmless ZINITHX (PTY) LTD from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in fraudulent activity

Upon termination, you may export your data within 30 days. After 30 days, data may be permanently deleted.

12. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be resolved in the courts of Pretoria, Gauteng.

13. Changes to Terms

We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance. Material changes will be communicated via email.
